Terms of Service

1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the website, customer portal, VPS hosting services, and custom software services provided by Host Pulse Limited ("HostPulse", "we", "us", or "our"). By creating an account, placing an order, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.
2. Our services
HostPulse provides two categories of service:
- VPS hosting: virtual private server infrastructure provisioned according to the plan you purchase, accessible and manageable through our customer portal.
- Custom software: bespoke software design, development, deployment, and support services, scoped and agreed individually with each customer.
Specific service details, pricing, and scope for custom software engagements will be confirmed in writing (including by email) before work begins, and form part of the agreement between us alongside these Terms.
3. Accounts
You must provide accurate and complete information when creating an account, and keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@host-pulse.com if you suspect unauthorised access to your account.
Accounts created on your behalf by our admin team (for example, following an offline order or consultation) are subject to these same Terms from the point of creation.
4. Billing and payment
- Invoices are issued through the customer portal and are payable by the due date stated on the invoice.
- Payments are processed via PayPal or Stripe. We do not store your full payment card or account credentials.
- Prices are quoted in GBP and are exclusive of VAT unless stated otherwise. VAT will be added where applicable.
- Late or non-payment of VPS hosting invoices may result in suspension or termination of the affected server, as described in Section 6.
- For custom software engagements, payment terms (including any milestone or deposit arrangements) will be set out in the agreed quote or statement of work.
5. Acceptable use
You agree not to use our services to:
- Host, transmit, or distribute unlawful, infringing, defamatory, or harmful content.
- Send unsolicited bulk email (spam) or engage in phishing.
- Attempt to gain unauthorised access to other systems or networks.
- Distribute malware, conduct denial-of-service attacks, or otherwise abuse infrastructure.
- Violate any applicable law or third-party right.
We may suspend or terminate services without notice where we reasonably believe this Acceptable Use clause has been breached, and where the breach poses a risk to our infrastructure, other customers, or third parties.
6. Suspension and termination
We may suspend or terminate your VPS hosting service if: an invoice remains unpaid after the due date and a reasonable grace period; you breach the Acceptable Use terms in Section 5; or we are required to do so by law.
You may cancel your VPS hosting service at any time via the customer portal or by contacting support. Cancellation takes effect at the end of the current billing period unless otherwise agreed. We do not provide refunds for partial billing periods unless required by law.
Custom software engagements may be terminated in accordance with the terms agreed in the relevant statement of work. Where no specific terms are agreed, either party may terminate on 30 days' written notice, with payment due for work completed up to the termination date.
7. Support requests and tickets
Support requests, including server restart or reinstallation requests, are handled through the customer portal ticketing system. We aim to respond to support tickets promptly, but do not guarantee specific response or resolution times unless otherwise agreed in a separate service level agreement.
8. Service availability
We take reasonable steps to keep our infrastructure available and reliable, but we do not guarantee uninterrupted service. Planned maintenance will be communicated where practicable. We are not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure, network, or utility failures.
9. Intellectual property
Unless otherwise agreed in writing, HostPulse retains ownership of all pre-existing tools, frameworks, and infrastructure used to deliver our services. For custom software engagements, ownership of the bespoke software we build for you will be set out in the relevant statement of work; in the absence of a specific agreement, ownership transfers to you upon payment in full for the work delivered.
You retain ownership of all content, data, and applications you host or run on our VPS infrastructure.
10. Data protection
Our collection and use of personal data is described in our Privacy Policy. If you store personal data belonging to third parties on infrastructure we provide, you are responsible for ensuring you have a lawful basis to do so, and for complying with applicable data protection law as the data controller for that data.
11. Limitation of liability
Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence, or any other liability that cannot be excluded by law.
Subject to the above, our total liability to you arising out of or in connection with these Terms or our services, whether in contract, tort, or otherwise, is limited to the total amount paid by you to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect or consequential losses, including loss of profits, business, or data.
12. Changes to these Terms
We may update these Terms from time to time. Material changes affecting active customers will be communicated by email or via a notice in the customer portal before taking effect. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of England and Wales.
